User Agreement
This User Agreement (hereinafter referred to as the "Agreement") applies to your access to and use of all online digital services (hereinafter referred to as the "Service") provided by us. The Service may include websites, mobile applications, API interfaces and relevant technical support services.
By accessing, registering for or using the Service, you confirm that you have reached the legal age and possess full civil capacity, and agree to be legally bound by this Agreement. If you are acting on behalf of an organization, you represent and warrant that you are authorized to accept this Agreement for such organization. Please read this Agreement carefully prior to use. You shall not use the Service if you do not agree to any part of this Agreement.
We reserve the right to update and revise this Agreement at any time. All revisions shall take effect upon publication on this page. Your continued use of the Service after the release of revised terms shall constitute your acceptance of the updated Agreement. You are solely responsible for reviewing this Agreement periodically.
Certain parts of the Service require you to create a user account. You must provide accurate, complete and up-to-date information. You are prohibited from submitting false information or impersonating any other person. You shall bear full responsibility for all activities conducted under your account.
You shall keep your account information confidential and are forbidden to share your account with any third party. You shall be liable for any losses or damages caused by information leakage or unauthorized access to your account. You must notify us immediately upon discovering any security vulnerabilities or unauthorized usage.
We reserve the right to suspend, restrict or terminate your account and access privileges to the Service at our sole discretion without prior notice for any reasons, including but not limited to prolonged inactivity, suspected fraud, false statements and violations of this Agreement.
Module C Terms of Use and Code of Conduct
You undertake to use the Service solely for legitimate purposes and comply with all applicable local, national and international laws and regulations.
You shall not, directly or indirectly permit or assist any third party to engage in the following activities: publishing, uploading, transmitting or distributing any illegal, harmful, threatening, abusive, harassing, infringing, defamatory, obscene, hateful or otherwise objectionable content; infringing upon the patent rights, trademark rights, trade secrets, copyrights, privacy rights or other proprietary rights of any individual or entity; spreading viruses, worms, Trojans and other malicious codes; interfering with or undermining the integrity and performance of the Service or any servers and networks connected thereto; attempting to gain unauthorized access to the Service, other user accounts, computer systems or networks.
You assume full legal responsibility for any content transmitted on or through the Service. We do not exercise control over user-generated content and shall not be held liable for its accuracy, safety or legality. Nevertheless, we reserve the right to remove any content deemed inappropriate or required for removal by applicable laws.
Module D Intellectual Property and Licensing
The Service and all its contents, features and functions (including without limitation all information, software, texts, displays, images, videos, audios, as well as their design, selection and arrangement) are owned by us, our licensors or other content suppliers, and protected by copyright, trademark, patent, trade secret and other intellectual property laws.
Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable and revocable license to access and use the Service for your personal or internal business purposes. Without our explicit written authorization, you may not copy, modify, create derivative works, publicly display, reverse-engineer or distribute any part of the Service.
When you upload, submit, store or publish content via the Service, you hereby grant us a worldwide, royalty-free, perpetual, sub-licensable and non-exclusive license to host, use, distribute, modify, execute, copy, publicly display, translate and create derivative works of your content. Such license is intended for the operation, provision, improvement and development of our Service, as well as the research and development of new services and technologies.
Module E Disclaimer, Warranties and Liability Limitation
To the maximum extent permitted by applicable laws, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a specific purpose, title and non-infringement. We do not warrant that the Service will operate uninterrupted, be delivered timely, remain secure or be error-free.
Under no circumstances shall we, together with our affiliates, officers, employees, agents, licensors and service providers, be liable to you for any direct, indirect, incidental, special, consequential or punitive damages arising from your use or inability to use the Service, even if we have been advised of the possibility of such damages in advance.
You agree to indemnify, defend and hold us harmless from and against all third-party claims, damages, liabilities, losses and expenses arising out of or in connection with your breach of this Agreement, your use of the Service (including the transmission of any data or content generated from your use of the Service), or your infringement of any third-party rights.
Module F Service Management, Termination and General Provisions
We reserve the following rights without corresponding obligations: monitoring the Service for violations; taking appropriate legal actions (including reporting to law enforcement authorities) against any user behaviors deemed illegal or in breach of this Agreement; refusing, restricting access to, limiting the availability of or disabling your contributions to the Service or any relevant files at our sole discretion; removing or disabling any content for any reason as we deem appropriate.
This Agreement shall remain effective during your entire use of the Service. We may terminate or suspend your access to the Service at any time without prior notice for any cause, including without limitation your violation of this Agreement. Upon termination, your rights to utilize the Service shall terminate immediately.
If any clause of this Agreement is deemed invalid, unlawful or unenforceable, such clause shall be enforced to the maximum extent that reflects the mutual intent of both parties, and the remaining clauses shall remain in full force and effect.
Governing Law and Dispute Resolution
The formation, validity, interpretation, performance and dispute resolution of this Agreement shall be governed by local applicable laws. If any disputes arise out of or in relation to this Agreement, you may contact us through official channels, and we will respond to your inquiry as soon as possible.
This Agreement, together with our Privacy Policy, constitutes the complete and exclusive understanding between you and us concerning your use of the Service, and supersedes all prior or contemporaneous oral and written agreements and communications regarding the same subject matter.
